1. Brand & Manufacturer Disclaimer / 品牌与制造商免责声明

IMH.Watch is an independent dealer of luxury timepieces and is not an authorized dealer, agent, or representative of any watch manufacturer. We are not affiliated with, endorsed by, or sponsored by any of the watch brands we showcase, sell, or service (including but not limited to Rolex, Patek Philippe, Audemars Piguet, etc.). All registered trademarks, logos, and brand names remain the sole intellectual property of their respective owners.

IMH.Watch 是一家独立的奢侈腕表经销商，并非任何腕表制造商的授权经销商、代理商或代表。本公司与我们所展示、销售或维修的任何腕表品牌（包括但不限于劳力士 Rolex、百达翡丽 Patek Philippe、爱彼 Audemars Piguet 等）均无任何隶属、认可、背书或赞助关系。所有注册商标、标志和品牌名称均为其各自所有者的独立知识产权。

2. Purchasing from IMH.Watch (Sales Policy) / 从 IMH.Watch 购买（销售政策）

All timepieces offered for sale by IMH.Watch undergo a rigorous physical and mechanical authentication process. Title and ownership of the timepiece shall only transfer to the Buyer upon the full and final completion of the transaction. The Buyer is strictly responsible for inspecting the timepiece prior to completing the transaction. All items are sold based on the condition detailed in the accompanying report.

所有由 IMH.Watch 发售的腕表均经过严格的外观与机械功能真伪鉴定。腕表的法定所有权仅在交易完全最终完成后方才转移至买家。买家有责任在交易完成前对腕表实物进行仔细检查。所有商品均以随附报告中所述的现状进行销售。

3. One-Year IMH.Watch Mechanical Warranty / IMH.Watch 一年机械保修服务

IMH.Watch will provide a One-Year (1-Year) Limited Mechanical Warranty from the date of purchase, which will be executed exclusively by our trusted, qualified technicians.

• Coverage: This warranty will only cover the internal mechanical functioning of the watch movement.
• Exclusions: This warranty strictly excludes any damage resulting from water exposure, accidental trauma, drops, impact, mishandling, unauthorized opening, alterations or tampering by third parties, normal cosmetic wear and tear, and any damage to crystals, straps, bands, or bracelets.

IMH.Watch 自购买之日起提供为期一（1）年的有限机械保修服务，该保修由本公司信赖且具备资质的专业技师团队专属执行。

• 保修范围：本保修仅涵盖腕表机芯的内部机械运转功能。
• 免责范围：本保修严格排除因进水、意外撞击、跌落、不当使用、未经授权的第三方开盖、改装或篡改而导致的损坏，亦排除正常的外观磨损以及表镜、表带、表链或表扣的任何损坏。

4. Refund & Return Policy / 退款与退换货政策

Due to the highly volatile nature of the secondary luxury timepiece market, all sales concluded with IMH.Watch are final. Returns, refunds, or exchanges are strictly not accepted unless a timepiece is proven to be materially misdescribed or unequivocally inauthentic by a manufacturer-authorized Service Centre. In such verified circumstances, the timepiece must be returned in the exact, unaltered condition as sold, with the IMH.Watch tamper-evident security tag completely intact and unbroken.

鉴于二级奢华腕表市场价格的高波动性特质，凡在 IMH.Watch 达成的交易均视为最终销售。本公司严格不接受任何退货、退款或换货要求，除非该腕表被证明与描述存在重大实质性不符，或被品牌官方授权服务中心明确判定为非原装正品。在此类经证实的特殊情况下，腕表必须以售出时的原始、未经改动的状态退回，且其上附带的 IMH.Watch 一次性防拆安全扣必须保持完全完好、无损。

5. Selling to & Trade-Ins with IMH.Watch / 腕表回收与置换（Trade-In）

When selling or trade in a timepiece to IMH.Watch, the Client legally warrants and guarantees that the Client is sole, absolute, and lawful owner of the item, and that it is free from any liens, financial encumbrances, or legal claims. All trade-in or purchase quotes provided digitally or verbally are provisional estimates and remain fully subject to adjustment or cancellation upon a comprehensive physical and technical inspection by our internal team.

当客户向 IMH.Watch 出售或置换（Trade-In）腕表时，客户在法律上保证并担保其为该物品的唯一、绝对且合法的物权所有人，且该物品不存在任何抵押、财务纠纷或法律索赔。本公司通过数字化或口头形式提供的所有折价或收购报价均为初步评估，最终需以本公司内部团队进行全面的实物与技术检测结果为准，本公司保留调整或取消报价的权利。

6. Consignment Services / 腕表寄卖服务

For all consigned timepieces, IMH.Watch acts strictly as the marketing and sales agent on behalf of the Consignor. The Consignor retains full title and ownership of the timepiece until a successful sale is legally concluded. IMH.Watch reserves sole and absolute discretion over the marketing strategy, advertising channels, photography style, and platform distribution of the consigned item. The Consignor agrees not to independently list, advertise, or offer the timepiece for sale through other channels while this Agreement remains active.

对于所有寄卖的腕表，IMH.Watch 仅作为寄卖人的市场营销与销售代理商。在销售合法达成之前，寄卖人保留该腕表的完整所有权。IMH.Watch 对寄卖物品的营销策略、广告渠道、摄影风格及推广平台分布享有唯一且绝对的决定权。寄卖人同意，在本协议有效期间，不得通过其他渠道自行上架、刊登广告或出售该寄卖腕表。

7. Ownership, Authenticity Declaration & Indemnity / 所有权、真实性声明与赔偿责任

If it is subsequently discovered that the Consignor is not the lawful owner of the Watch or does not have the legal right or authority to consign or authorise the sale of the Watch, the Consignor shall fully indemnify, defend and hold harmless IMH Watch, its directors, officers, employees and agents from and against any and all claims, demands, actions, proceedings, losses, damages, liabilities, costs and expenses (including legal fees on a full indemnity basis) arising out of or in connection with such claim or breach of this warranty.

如日后发现寄卖人并非该腕表的合法所有人，或无权或无合法授权将该腕表交由本公司寄卖或授权出售，寄卖人须就因该等索赔或违反本项保证而产生或与之相关的任何及所有索赔、要求、诉讼、法律程序、损失、损害、责任、费用及开支（包括按全额赔偿基准计算的律师费），向 IMH.Watch、其董事、高级职员、员工及代理人作出全面赔偿、抗辩并使其免受损害。

8. Seller Indemnity - Watch Purchase Agreement / 卖方赔偿责任 - 腕表购买协议

If it is subsequently discovered that the Seller is not the lawful owner of the Watch or does not have the legal right or authority to sell the Watch, the Seller shall fully indemnify, defend and hold harmless IMH.Watch, its directors, officers, employees and agents from and against any and all claims, demands, actions, proceedings, losses, damages, liabilities, costs and expenses (including legal fees on a full indemnity basis) arising out of or in connection with such claim or breach of this warranty.

如日后发现卖方并非该腕表的合法所有人，或无权或无合法授权出售该腕表，卖方须就因该等索赔或违反本项保证而产生或与之相关的任何及所有索赔、要求、诉讼、法律程序、损失、损害、责任、费用及开支（包括按全额赔偿基准计算的律师费），向 IMH.Watch、其董事、高级职员、员工及代理人作出全面赔偿、抗辩并使其免受损害。

9. Service & Maintenance / 腕表维修与保养服务

Timeframes provided for inspection, authentication, watch care, movement servicing, or polishing are estimates only, typically ranging from one (1) to seven (7) working days depending on complexity. IMH.Watch assumes no liability for pre-existing cosmetic damage, undisclosed aftermarket modifications, or underlying mechanical faults discovered during disassembly or servicing. The Client agrees that if additional specialized parts or structural repairs are required, IMH.Watch will stop service the timepiece until the Client’s explicit financial authorization is obtained.

本公司所提供的腕表外观检查、真伪鉴定、深度保养、机芯维修或翻新抛光的周期均为预估时间，根据复杂程度通常为一（1）至七（7）个工作日。对于在拆解或维修过程中发现的、原本已存在的表面损伤、未披露的第三方改装（非原厂配件）或潜在的机械故障，IMH.Watch 概不承担任何法律责任。客户同意，若在维修过程中发现需要额外的专业零部件或结构性修复，IMH.Watch 将暂停服务，直至获得客户明确的费用授权。

10. Counterfeit Submission Protection / 仿冒品与伪劣商品提交保护

IMH.Watch maintains a strict zero-tolerance policy for counterfeit, inauthentic, or stolen goods. If a timepiece submitted for sale, consignment, trade-in, or service is discovered to be counterfeit, contains undisclosed aftermarket alterations, or is flagged on global lost-and-stolen databases, IMH.Watch reserves the right to immediately terminate the transaction. Furthermore, the IMH.Watch reserves the absolute right to withhold the timepiece pending investigation, report the incident and handover the item to relevant legal authorities, or levy a mandatory administrative authentication and handling fee against the Client before the item is released.

IMH.Watch 对任何仿冒、非原装或涉嫌盗窃的物品实行严格的“零容忍”政策。若提交用于出售、寄卖、置换或维修的腕表被证实为假冒伪劣商品、包含未披露的非原厂改动，或在全球失窃数据库中被标记，IMH.Watch 有权立即终止交易。此外，本公司保留扣留该腕表以待调查、将此事向相关执法部门通报并交出该物品的绝对权利，或在依法退还该物品前向客户收取强制性的行政鉴定与处理费用。

11. Shipping & Delivery Terms / 物流与交付条款

For items shipped to the Client, IMH.Watch will ensure the shipment is dispatched via fully secure and insured premium courier services. The risk of loss, theft, or damage transfers entirely to the Client the exact moment the package is signed for at the designated delivery address. If the Client explicitly requests shipping via an unapproved third-party courier or requests a waiver of the signature requirement, the Client assumes all risk of loss, theft, or damage from the point of dispatch.

对于邮寄至客户手中的商品，IMH.Watch 保证通过安全且全额投保的高级快递服务进行发货。物品灭失、失窃或损坏的风险，将在包裹于指定送货地址被签收的准确时刻完全转移至客户。若客户明确要求通过未经本公司认可的第三方快递公司发货，或要求免除签收确认程序，则自发货点起，所有损失风险.失窃或损坏的风险均由客户自行承担。

12. Social Media, Marketing & Ads Consent / 社交媒体、营销与广告授权

The Client hereby grants IMH.Watch the irrevocable, worldwide, royalty-free right to photograph, video record, and utilize media of the timepiece for commercial purposes. This includes, but is not limited to, digital marketing campaigns, Google Ads, Meta Ads, and publishing on social media platforms (such as TikTok, Instagram, Xiaohongshu, etc.). IMH.Watch legally guarantees that the Client’s personal identity, sensitive private data, and transaction values will remain strictly anonymous and will never be published without explicit written consent.

客户特此授予 IMH.Watch 一项不可撤销的、全球性的、免版税的权利，允许本公司出于商业目的对相关腕表进行拍摄、录像并使用其媒体素材。这包括但不限于数字营销活动、Google 广告、Meta 广告以及在各大社交媒体平台（如 TikTok、Instagram、小红书等）上的发布。IMH.Watch 在法律上保证，客户的个人身份、敏感隐私数据及具体交易金额将保持严格匿名，未经明确书面同意绝不公开。

13. No Liability for Dealings Outside the Company's Premises / 公司营业场所外交易的责任免责

The Customer acknowledges and agrees that all transactions relating to consignment, sale, purchase, payment, collection of the Watch shall be conducted solely through IMH.Watch and at its authorised business premises or through such other channels as may be expressly authorised in writing by IMH.Watch.

The Customer further acknowledges that any dealings, negotiations, payments, collections, deliveries or other arrangements made directly with any employee, representative or agent of IMH.Watch outside the authorised business premises without the prior written authorisation of IMH.Watch shall be at the Customer's sole risk.

IMH.Watch shall not be responsible or liable for any loss, damage, misappropriation, fraud, unauthorised acts, misrepresentation, or any other liability arising from such unauthorised dealings with its employees, representatives or agents. The Customer shall have no claim whatsoever against IMH.Watch in respect of any loss or damage arising therefrom.

客户确认并同意，所有与腕表寄卖、销售、购买、付款及领取有关的交易，均须通过 IMH.Watch 进行，并在本公司授权的营业场所内完成，或通过 IMH Watch 以书面明确授权的其他渠道进行。

客户进一步确认，任何未经 IMH.Watch 事先书面授权，而在本公司授权营业场所以外直接与 IMH.Watch 的任何员工、代表或代理人进行的交易、谈判、付款、领取、交付或其他安排，均由客户自行承担全部风险。

对于因客户与本公司员工、代表或代理人进行上述未经授权的交易而产生的任何损失、损害、挪用、欺诈、未经授权的行为、虚假陈述或其他任何责任，IMH.Watch 概不负责或承担责任。客户不得就因此产生的任何损失或损害向 IMH.Watch 提出任何索赔。

14. Dealings with Company Employees / 与公司员工进行交易

The Customer acknowledges and agrees that all transactions relating to consignment, sale, purchase, payment, collection of the Watch shall be conducted only in accordance with IMH.Watch’s procedures.

Any direct dealings, arrangements, payments, instructions, representations, promises or agreements made by the Customer with any employee of IMH.Watch, otherwise than through IMH.Watch's authorised procedures or without the prior written approval of IMH.Watch, shall be at the Customer's sole risk.

IMH.Watch shall not be responsible or liable for any unauthorised act, representation, statement, promise, agreement, receipt of payment, release of the Watch or omission by any of its employees acting outside the scope of their actual authority, and the Customer shall have no claim whatsoever against IMH.Watch in respect of any loss or damage arising therefrom.

客户确认并同意，所有与腕表寄卖、销售、购买、付款及领取有关的交易，均须严格按照 IMH Watch 的相关程序进行。

客户与 IMH.Watch 任何员工进行的任何直接交易、安排、付款、指示、陈述、承诺或协议，如并非通过 IMH.Watch 的授权程序进行，或未经 IMH Watch 事先书面批准，均由客户自行承担全部风险。

对于任何员工在超出其实际授权范围的情况下所作出的未经授权行为、陈述、声明、承诺、协议、收取款项、交付腕表或遗漏行为，IMH Watch 概不负责或承担责任。客户不得就因此产生的任何损失或损害向 IMH.Watch 提出任何索赔。

15. Limitation of Liability / 责任限制条款

To the maximum extent permitted by Malaysian law, the total liability of IMH.Watch for any loss, damage, or claim arising out of this Agreement - whether in contract, tort (including negligence), or bailment - shall be strictly limited to either: (a) financial compensation based on the current secondary market value of the specific timepiece, or (b) replacing the timepiece with a unit of the exact same model, year, and condition. IMH.Watch reserves the sole and absolute discretion to determine the preferred method of compensation. IMH.Watch shall not be liable for any indirect, incidental, or consequential losses, including but not limited to the loss of potential commercial profit, business opportunities, or market appreciation.

在马来西亚法律允许的最大范围内，IMH.Watch 因本协议引起的或与本协议相关的任何损失、损害或索赔的总责任（无论基于合同、侵权行为包括疏忽、或保管关系），应严格限制于以下两者之一： (a) 基于该特定腕表当前二级市场价格的经济赔偿，或 (b) 为客户更换一只相同型号、相同年份且同等成色的腕表。IMH.Watch 保留选择上述最终赔偿方式的唯一且绝对的决定权。IMH.Watch 对任何间接、附带或衍生性损失（包括但不限于潜在商业利润的损失、商业机会的丧失或市场增值空间的损失）概不承担任何责任。

16. Uncollected Items & Abandoned Property / 逾期未取与无人认领财产处理

If a timepiece left with IMH.Watch for service, repair, authentication, or post-consignment return remains uncollected by the Client within ninety (90) days from the issuance of the first completion or collection notice, IMH.Watch reserves the right to charge a daily secure storage fee. If the item remains uncollected for one hundred and eighty (180) days, the timepiece shall be legally deemed abandoned. IMH.Watch reserves the right to dispose of or sell the abandoned timepiece to recover any outstanding service fees, storage costs, and administrative expenses, with any remaining balance held for the Client without interest.

凡因维修、保养、真伪鉴定或寄卖期满后留存在 IMH.Watch 的腕表，若客户在发出首份完成或取表通知之日起九十（90）天内仍未取回，IMH.Watch 保留收取每日安全仓储保管费的权利。若该物品在一百八十（180）天内仍无人认领，该腕表将在法律上被视为无主放弃财产。IMH.Watch 保留处置或变卖该无人认领腕表的权利，所得款项用以抵扣任何欠缴的维修费、仓储费及行政开支，剩余资产余额（如有）将为客户保留（不计利息）。

17. Digital Condition Reports & Sales Records / 数字化品相报告与销售记录效力

For all commercial transactions, IMH.Watch generates a standardized digital Condition & Movement Report and formal sales record. This digital document serves as the definitive, final, and legally binding record of the timepiece’s cosmetic and mechanical status, including the exact presence or absence of specific factory accessories (e.g., box, warranty cards, manuals, link counts). By executing the transaction or signing the Handover Confirmation, the Client accepts the digital report as fully accurate and legally conclusive, superseding any prior verbal statements or descriptions.

对于所有商业交易，IMH.Watch 均会生成一份标准化的数字化《品相与机芯报告》及正式销售记录。该电子文件是该腕表外观及机械状态的最终、决定性且具法律约束力的记录，包括原厂附件（如表盒、保修卡、说明书、表链节数）的确切完整性。通过达成交易或签署《交接确认书》，客户即代表完全接受该数字化报告的准确性与法律终局效力，该报告将取代此前任何口头陈述或描述。

18. Governing Law & Jurisdiction / 管辖法律与争议解决

This Agreement, and all contractual relations between IMH.Watch and the Client, shall be governed by, interpreted, and construed in accordance with the laws of Malaysia. Any disputes, controversies, or legal claims arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Malaysia.

本协议以及 IMH.Watch 与客户之间的一切合同关系，均应受马来西亚法律管辖，并依其进行解释与重构。凡由本协议引起或与其相关的任何争议、纠纷或法律索赔，均应提交至马来西亚法院享有专属管辖权。
